These Terms and Conditions govern your access to and use of the Codecraft Technologies website, products, software, subscriptions, digital services, consulting services, and other offerings made available through codecraft.ph. By accessing the website, creating an account, purchasing a product or service, or otherwise using a Codecraft offering, you agree to these Terms and Conditions.

1. About Codecraft Technologies

Codecraft Technologies Company Inc. (“Codecraft”, “we”, “our”, or “us”) develops and provides technology products and professional services. These may include software applications, SaaS subscriptions, learning management systems, accounting technology, email signature management, websites, digital systems, implementation, maintenance, and consulting services.

The particular features, scope, price, duration, and deliverables applicable to any specific transaction are those shown on the applicable product page, quotation, proposal, order form, invoice, or written agreement at the time of purchase.

2. Eligibility and Authority

By using our website or purchasing our products and services, you confirm that you have the legal capacity to enter into binding agreements under applicable Philippine law. If you are purchasing on behalf of an organization, you represent that you are duly authorized to act on that organization’s behalf and to bind it to these Terms and Conditions.

3. Accounts

Where an account is required to access a Codecraft product or service:

You must provide accurate, current, and complete registration information.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account.
You must promptly notify us of any suspected unauthorized access or security breach.

Codecraft may suspend or restrict access to accounts affected by misuse, fraud, security threats, material non-payment, or material violations of these Terms. We will take reasonable steps to notify affected users and, where appropriate, allow restoration of access once the underlying issue is resolved.

4. Products and Services

Codecraft offerings may include, without limitation:

SaaS / Subscription Products: Cloud-hosted software provided on a subscription basis, such as PathCraft LMS, Quenta, and Signature Manager.
Digital Products: Downloadable or digitally delivered products, licenses, or content.
Custom Software and Development: Bespoke software, web development, and related technical work developed to client specifications.
Consulting and Professional Services: Advisory, strategy, and specialist professional services.
Implementation and Support Services: Setup, configuration, training, and ongoing technical support.

For custom development or project engagements, a separate proposal, statement of work, or written contract may govern the specific engagement and, where inconsistent with these general Terms, will prevail to the extent of the inconsistency.

5. Pricing

Prices shown at checkout or in an accepted quotation govern the applicable transaction. Applicable taxes, fees, or other charges, if any, will be disclosed where required by law or as otherwise applicable to the transaction.

6. Payments

Payments may be processed through third-party payment service providers such as PayMongo or other authorized processors. Codecraft does not necessarily receive or store complete payment-card credentials — payment information submitted to a payment processor is handled under that provider’s own security framework.

A payment is considered completed only after confirmation is received from the relevant payment processor. Failed, reversed, expired, cancelled, or incomplete payment attempts do not create an entitlement to the product or service unless Codecraft separately and explicitly confirms receipt of payment.

7. Subscriptions and Renewals

Where a product is sold on a recurring subscription basis, its billing interval, renewal arrangement, price, and cancellation options will be disclosed before purchase. Please review the specific product page or your order details for the applicable subscription terms.

8. Delivery of Digital Products and Services

Delivery of digital products and services may occur through various means depending on the offering, including:

Account activation and dashboard access
Email delivery of access credentials or license information
Software access, activation, or download
Agreed project delivery milestones

9. User Responsibilities

In using Codecraft’s website, products, and services, you agree not to:

Use any Codecraft service for any unlawful purpose or in violation of applicable law
Circumvent or attempt to circumvent licensing controls or access restrictions
Compromise or attempt to compromise the security or integrity of any Codecraft system
Introduce malware, viruses, or other harmful code
Scrape, harvest, or systematically extract data without authorization
Impersonate any person or entity
Infringe the intellectual property rights of Codecraft or any third party
Abuse or misuse platform infrastructure in a manner that interferes with others’ access

10. Intellectual Property

Codecraft Technologies Company Inc. retains ownership of all intellectual property in its trademarks, logos, software, source code, product designs, website content, documentation, and original materials. Customers receive only the rights expressly stated in the applicable license, product agreement, or contract.

For custom software development engagements, intellectual property ownership and licensing terms are governed by the specific written project agreement between the parties.

11. Third-Party Services

Codecraft products may interact with or integrate with third-party platforms and services. Codecraft is not responsible for the independent actions, outages, policies, or service changes of third parties, subject to applicable Philippine law.

12. Availability and Modifications

Codecraft may perform maintenance, improvements, or updates to its products and website. While we endeavor to maintain reliable availability, temporary interruptions may occur due to scheduled maintenance, technical issues, or factors outside our reasonable control. We do not guarantee uninterrupted access to our products or services.

13. Prohibited Use

The following are strictly prohibited: fraud; unauthorized access to systems or accounts; illegal activity of any kind; sending spam or unsolicited communications through our platforms; introducing malware or malicious code; abusing or harassing other users; infringing intellectual property rights; attempting to bypass licensing or security controls; and misusing other users’ personal information.

14. Warranties and Limitations

Codecraft aims to deliver its products and services with reasonable care and skill. Where a product or service does not meet the agreed standard, we will endeavor to resolve the issue in a reasonable manner.

Nothing in these Terms excludes or limits any warranty, right, remedy, or liability that cannot legally be excluded or limited under applicable Philippine law, including under the Consumer Act of the Philippines (R.A. 7394), the Electronic Commerce Act (R.A. 8792), and the Internet Transactions Act of 2023 (R.A. 11967).

15. Termination or Suspension

Codecraft may suspend or terminate access to its products and services in cases of material breach of these Terms, fraud, security abuse, unlawful use, material non-payment, or misuse of software licenses. Where practicable, we will provide reasonable notice and, where the issue is capable of remedy, allow the opportunity for resolution before taking action. Restored access may be offered where the issue has been satisfactorily resolved.

16. Cancellations and Refunds

Cancellations and refund eligibility are governed by our Return and Refund Policy and applicable Philippine law. Please review that policy before making a purchase.

17. Privacy

The collection, use, and protection of personal information is governed by our Privacy Policy, which forms part of these Terms and Conditions.

18. Disputes

If you have a concern or dispute arising from a transaction with Codecraft, please refer to our Dispute Resolution Policy.

19. Changes to Terms

Codecraft may update these Terms and Conditions from time to time. Material changes will be published on this page with an updated effective date. Continued use of Codecraft’s website or services after the publication of updated Terms constitutes acceptance of the changes with respect to transactions entered into after that date.

20. Governing Law

These Terms and Conditions are governed by the laws of the Republic of the Philippines, without prejudice to applicable consumer-protection rights available under Philippine law.
